TERMS AND CONDITIONS OF USE

1. Identification of the Provider

JPC Solutions Sociedad de Responsabilidad Limitada, incorporated under the laws of the Republic of Costa Rica, hereinafter “JPC Solutions”, provides technological and operational services in accordance with applicable regulations.

2. Purpose

These Terms and Conditions govern access to and use of the services provided by JPC Solutions.

4. Eligibility and Registration

The user must provide truthful, complete, and up-to-date information.

JPC Solutions may request additional documentation, apply technical validations, conduct KYC/KYB processes, and verify information with independent sources.


5. Permitted Use

The user agrees to use the services exclusively for lawful and authorized activities.

Use for illicit, fraudulent, evasive, sanctioned activities, or activities that violate AML/CFT regulations is strictly prohibited.


6. Risk Management and Monitoring

JPC Solutions applies risk management models based on transactional analysis, dynamic user profiling, and operational exposure.

Limits, enhanced monitoring, or additional reviews may be implemented when the operational profile requires it.


7. AML/CFT Compliance and International Sanctions

JPC Solutions operates under a risk-based model aligned with international standards and applicable Costa Rican regulations.

Includes:
• Customer identification and verification.
• Ongoing transaction monitoring.
• Enhanced due diligence where appropriate.
• Screening against restrictive lists and international sanctions.
• Reporting to competent authorities when required by regulation.

The company may block, suspend, or reject transactions when compliance alerts arise.


8. Confidentiality and Data Protection

User information will be handled under principles of confidentiality, operational necessity, and protection in accordance with Costa Rican regulations and international standards.

Information may be shared when required by law, competent authority, or for service execution with strategic partners under equivalent confidentiality obligations.


9. Account Security, Credentials, and Evidentiary Value of Transactions

The user is the sole custodian of their access credentials, authenticated devices, dynamic codes, biometric factors, tokens, security keys, and any other authentication mechanisms associated with their account.

Any transaction authenticated through valid credentials, multi-factor authentication (MFA), one-time passwords (OTP), registered biometrics, previously linked devices, or equivalent security mechanisms shall be presumed to have been validly performed and authorized by the account holder.

Multi-factor authentication constitutes an adequate identity and consent verification mechanism, and its use shall generate a presumption of sufficient authorization for operational and evidentiary purposes.

The voluntary, conscious, or induced disclosure of codes, keys, credentials, or authentication factors to third parties, including in cases of social engineering, phishing, impersonation, or external fraud, shall be considered express authorization by the user for contractual and evidentiary purposes.

JPC Solutions shall not be liable for losses arising from social engineering schemes when the user has provided their credentials or authentication factors, unless there is verifiable technical failure directly attributable to JPC Solutions' infrastructure.

Electronic records, technical logs, authentication logs, IP addresses, timestamps, device identifiers, and other digital evidence generated by JPC Solutions' systems shall constitute valid proof of the transaction carried out, unless proven otherwise.

The user must immediately notify any suspicion of unauthorized use.


10. Suspension and Termination

JPC Solutions may suspend or terminate services when:
• There is contractual breach.
• Regulatory or operational risks are detected.
• Required by a competent authority.


11. Limitation of Liability and Indemnification

Except as otherwise mandatorily provided by law, the total cumulative liability of JPC Solutions arising from the provision of services shall not exceed the amount effectively paid by the user in fees during the month immediately preceding the event giving rise to the claim.

In no event shall JPC Solutions be liable for indirect, incidental, special, consequential, punitive damages, loss of profits, loss of opportunity, business interruption, or reputational damage.

Nothing in these Terms excludes or limits liability in cases of willful misconduct or gross negligence where such limitation is prohibited by applicable law.

The user shall indemnify JPC Solutions against damages, claims, or liabilities arising from misuse of the platform or breach of these Terms.


12. Business Continuity and Force Majeure

JPC Solutions maintains reasonable business continuity and incident recovery policies.

It shall not be liable for failures resulting from force majeure events, including public infrastructure failures, natural events, conflicts, regulatory acts, or other events beyond its reasonable control. However, JPC Solutions will take reasonable measures to mitigate the effects of such events when technically and operationally feasible.


13. Claims

The user may submit claims through official channels.

JPC Solutions will assess each case in accordance with its internal procedures and applicable regulations.


14. Amendments

JPC Solutions may modify these Terms when regulatory, operational, or commercial reasons so require, upon providing reasonable prior notice.

Continued use of the service shall constitute acceptance of the modifications.


15. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of Costa Rica.

Any dispute arising from the interpretation, execution, or validity of these Terms shall be submitted to the competent courts of the Republic of Costa Rica, unless a specific agreement establishes a valid alternative dispute resolution mechanism.


16. Interpretation and Precedence

In the event that versions of these Terms and Conditions or their annexes exist in more than one language, the Spanish version shall prevail for legal interpretation purposes in the Republic of Costa Rica, unless expressly stated otherwise.

The headings included in this document are for reference purposes only and do not affect its legal interpretation.


17. Fees

The fees applicable to the services are detailed in the separate document entitled:

ANNEX I – OFFICIAL FEE SCHEDULE IN FORCE

The ANNEX I forms an integral part of these Terms and Conditions and is permanently available for consultation on the official JPC Solutions website.

The Fee Schedule may be updated periodically in accordance with regulatory, operational, or commercial conditions.

Continued use of the service following notice of an update shall constitute acceptance of the applicable Fee Schedule.


JPC SOLUTIONS S.R.L. is a Payment Service Provider authorized by the BCCR as a participant in the SINPE service. Funds held in your account (CAR, Resource Management Account) do not constitute deposits in financial institutions supervised by SUGEF. JPC SOLUTIONS S.R.L. is registered with SUGEF solely for purposes of supervision regarding anti-money laundering, counter-terrorism financing, and the proliferation of weapons of mass destruction, in accordance with Law 7786.
